1. Acceptance of Terms

Welcome to TYSM ("Thank You So Much"). By accessing or using our platform, including our website, mobile applications, and services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform.

TYSM provides a social finance platform that enables users to send and receive gratitude payments, build reputation through our Gratitude Score™ system, create campaigns, and connect through meaningful appreciation.

2. Eligibility and Account Registration

2.1 Age Requirements

You must be at least 18 years old to create an account and use the Platform. By creating an account, you represent and warrant that you meet this age requirement.

2.2 Gratitude Address™

When you create an account, you will claim a unique Gratitude Address™ (e.g., @yourname). Your Gratitude Address is your unique identifier on the Platform and cannot be transferred to another user. You are responsible for maintaining the confidentiality of your account credentials.

2.3 Account Verification

We may require you to verify your identity through phone number or email verification. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.

3. Platform Services

3.1 Gratitude Payments

TYSM enables you to send and receive payments as expressions of gratitude. All payments create a Thank-You Receipt™ that includes your message and transaction details. Payments are subject to our processing fees and applicable taxes.

3.2 Gratitude Score™

Your Gratitude Score™ is a reputation metric (0-850) calculated based on your reliability, consistency, and resonance on the Platform. Your score affects your access to certain features, including instant withdrawals and campaign verification. The calculation methodology is proprietary and subject to change.

3.3 Campaigns and Fundraising

You may create campaigns to fundraise for personal, charitable, or creative projects. Campaign creators are solely responsible for the accuracy of campaign descriptions and the proper use of funds. TYSM does not guarantee that campaigns will reach their goals or that funds will be used as described.

3.4 TYSM Wallet

Your TYSM wallet holds your balance and transaction history. Funds in your wallet are held in trust by our banking partner. You may withdraw funds to your linked bank account subject to verification and processing times.

4. Fees and Payments

4.1 Platform Fees

TYSM charges no platform fees for wallet-to-wallet transactions. We may charge fees for certain services including:

• Card funding: Standard payment processing fees apply
• Instant withdrawals: Fees may apply for instant access to funds
• Campaign withdrawals: Fees disclosed at time of withdrawal
• Currency conversion: Fees apply for international transactions

4.2 Third-Party Payment Processors

We use third-party payment processors (including Stripe) to process transactions. By using the Platform, you agree to be bound by their terms of service.

5. User Conduct

5.1 Prohibited Activities

You agree NOT to:

• Use the Platform for any illegal or fraudulent purposes
• Create false or misleading campaigns
• Manipulate your Gratitude Score through artificial means
• Harass, threaten, or harm other users through payments or messages
• Violate any applicable laws, regulations, or third-party rights
• Attempt to gain unauthorized access to the Platform or user accounts
• Use automated systems (bots) without our written permission
• Engage in money laundering or terrorist financing

5.2 Content Standards

All content you post (including campaign descriptions, messages, and profile information) must comply with our Community Guidelines. We reserve the right to remove content that violates these standards.

6. Intellectual Property

TYSM, Gratitude Address™, Gratitude Score™, Gratitude Graph™, and Thank-You Receipts™ are trademarks owned by TYSM. All content, features, and functionality of the Platform are owned by TYSM and protected by intellectual property laws.

You retain ownership of content you post, but grant TYSM a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content in connection with the Platform.

7. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

8. Dispute Resolution and Chargebacks

8.1 Transaction Disputes

If you have a dispute with another user, you agree to resolve it directly with that user. TYSM may provide dispute resolution services at our discretion but is not obligated to do so.

8.2 Chargebacks

Unjustified chargebacks may result in account suspension or termination. You agree to contact us before initiating a chargeback.

9. Account Suspension and Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason we deem appropriate. Upon termination, you will have access to withdraw your funds subject to verification and compliance requirements.

10. Disclaimers and Limitation of Liability

10.1 Platform Availability

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee uninterrupted or error-free service.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TYSM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR SERVICE INTERRUPTION.

Our total liability to you for any claims related to the Platform shall not exceed the amount you paid to TYSM in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless TYSM and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or violation of any rights of another party.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Platform. Your continued use of the Platform after such changes constitutes acceptance of the new Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
